Terms of Service
The agreement that governs your use of the Fleet platform.

These Terms of Service ("Terms") govern your access to and use of the Fleet platform, websites, applications and related services (the "Services"). By creating an account or using the Services, you agree to these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.
1. Accounts and eligibility
You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for the accuracy of your registration information, for safeguarding your credentials, and for all activity that occurs under your account. Notify us promptly of any unauthorised use.
2. Subscriptions, billing and taxes
Paid Services are billed on a subscription basis according to the plan you select. Unless stated otherwise, subscriptions renew automatically for the same term until cancelled. Fees are exclusive of taxes; you are responsible for applicable taxes, including GST, except for taxes on our net income. Except where required by law, fees are non-refundable.
3. Free trials
We may offer a free trial for a limited period. At the end of the trial, your subscription will begin and applicable fees will apply unless you cancel beforehand. We may modify or discontinue trials at any time.
4. Acceptable use
You agree not to:
- use the Services in violation of any law or third-party rights;
- upload malware or interfere with the integrity or performance of the Services;
- attempt to gain unauthorised access to the Services or related systems;
- reverse engineer or copy the Services except as permitted by law; or
- resell or provide the Services to third parties except as expressly authorised.
5. Customer data and ownership
As between the parties, you retain all rights to the data you submit to the Services ("Customer Data"). You grant us a limited licence to host, process and transmit Customer Data solely to provide and support the Services. You are responsible for the accuracy and legality of Customer Data and for obtaining any necessary consents. Where you use the optional FASTag toll-capture feature in the mobile app — whether by scanning the device inbox on Android or by sharing or pasting a message on iOS — you confirm that you are authorised to access those toll messages on the relevant device and have obtained any consent required from the device's user.
6. Intellectual property
The Services, including all software, designs and content provided by us, are owned by Fleet and its licensors and are protected by intellectual-property laws. Except for the rights expressly granted to you, we reserve all rights in and to the Services.
7. Third-party services
The Services may interoperate with third-party products and services. We are not responsible for third-party services, and your use of them is governed by their own terms.
8. Disclaimers
The Services are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.
9. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits or revenues. Our aggregate liability arising out of or relating to these Terms will not exceed the amounts you paid for the Services in the twelve months preceding the event giving rise to the claim.
10. Indemnification
You agree to indemnify and hold Fleet harmless from claims, damages and expenses arising out of your Customer Data, your use of the Services in breach of these Terms, or your violation of law or third-party rights.
11. Term and termination
These Terms remain in effect while you use the Services. Either party may terminate for material breach that remains uncured after notice. We may suspend or terminate access if you fail to pay fees or use the Services in a way that poses a security or legal risk. Upon termination, your right to use the Services ceases; you may export Customer Data for a limited period as described in our documentation.
12. Changes to the Services and Terms
We may update the Services and these Terms from time to time. If we make material changes to these Terms, we will provide notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
13. Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-laws principles. The courts located in Bengaluru, Karnataka will have exclusive jurisdiction over any dispute arising out of or relating to these Terms, subject to any applicable arbitration agreement between the parties.
14. Miscellaneous
These Terms, together with any order form and our Privacy Policy, constitute the entire agreement between the parties. If any provision is held unenforceable, the remaining provisions remain in effect. Neither party is liable for delays caused by events beyond its reasonable control. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
